Who Should Be Your WFOE's Legal Representative? Legal Representative, Director and Supervisor Explained

5 min read

Quick answer: Under China's 2024 Company Law, a WFOE's legal representative must be a director or the manager who runs the company's affairs. The legal representative signs for and binds the company, and carries personal risk if the company fails to meet its obligations. Small WFOEs can have a single director and, with the consent of all shareholders, no supervisor. Choose people you trust, who are reachable and who understand the role.

WFOE legal representative at a glance – must be a director or manager, one director allowed for small companies, supervisor optional, 30 days to appoint a replacement

Founders often fill these positions with whoever is available at registration. That works until the company needs a signature, a bank verification or a change of officer, and the person named is unavailable or has left. These appointments deserve as much thought as the business scope.

This guide explains who can be your WFOE legal representative, how the director and supervisor roles work since the 2024 Company Law, and how to choose and change the people in them.

The Three Roles in a WFOE

A WFOE's articles of association and registration name up to three kinds of officer:

Role

What it means

Key point

Legal representative

The person who acts for the company in law, signs on its behalf and is named on the business licence

Must be a director or the manager who runs the company's affairs

Director(s)

Manage the company on behalf of the shareholder, as a board or as a single director for smaller companies

The director is often also the legal representative

Supervisor

Oversees the directors and managers on behalf of the shareholder

Optional in many small WFOEs since 2024

The Legal Representative: Authority and Personal Risk

The legal representative's signature, together with the company chop, binds the company. Banks, tax bureaus and courts treat this person as the face of the company.

That brings personal exposure. If the company fails to meet court judgments, is placed on the list of dishonest judgment debtors or is under investigation, the legal representative can face restrictions, including on leaving China and on luxury spending such as business-class travel. A former legal representative stays on record, including on the National Enterprise Credit Information Publicity System, until the change is formally registered. Since the 2024 Company Law:

  • The legal representative must be a director or the manager who runs the company's affairs.

  • If that person resigns from the underlying role, they are treated as having resigned as legal representative too.

  • The company must appoint a new legal representative within 30 days.

  • The company is liable for the legal representative's acts in office, but can recover its losses from a legal representative who was at fault.

Choosing the Right Person

Ask these questions before you appoint anyone:

  1. Is the person reachable? Banks may require identity verification, and the authorities may need a signature at short notice.

  2. Do they understand the role? They are lending their name and taking on risk.

  3. What happens if they leave? Plan the replacement and the handover of chops and bank tools before you need them.

  4. Is there a conflict? A local general manager who is also the legal representative, holds the company chop and controls the bank tokens has a great deal of unchecked power.

Many foreign owners appoint a senior person from the parent company as director and legal representative, with a local general manager running daily operations under written delegated authority. An independent China finance manager adds a further check on payments and records.

Directors and Supervisors After the 2024 Reforms

The 2024 Company Law gave limited liability companies more flexibility:

  • A company that is small or has few shareholders may have one director instead of a board.

  • A company may set up an audit committee within its board instead of a supervisor.

  • A small company may have one supervisor or, with the unanimous consent of its shareholders, no supervisor at all.

  • A supervisor cannot also be a director or senior manager of the company.

Changing the Legal Representative

A change requires a shareholder decision, a filing with the market regulator, and updates at the bank, the tax bureau and other registrations. It is far easier while the outgoing person is cooperative. If they have left on bad terms, retrieving chops, bank tools and signatures can take months. Our guide to changing your legal representative in China covers the process step by step.

Frequently Asked Questions

Does the legal representative have to be Chinese or live in China?

No. Foreign nationals can be the legal representative, and residence in China is not required. Practical availability for bank and authority processes still matters.

Can one person hold all the roles?

One person can be the director, legal representative and general manager. They cannot also be the supervisor.

Is the legal representative personally liable for the company's debts?

Not for ordinary debts. The risks come from enforcement measures, such as travel and spending restrictions when the company ignores court judgments, and from personal wrongdoing, such as fraud or serious compliance breaches.

Does a WFOE still need a supervisor?

Not always. Since 2024, a small company may have one supervisor or, with the unanimous consent of its shareholders, none at all. A company can also set up an audit committee within its board instead.

How quickly must a new legal representative be appointed?

Within 30 days. If the legal representative resigns as director or manager, they are treated as having resigned as legal representative too, and the company must appoint a replacement within 30 days.
