Advisory on the Hong Kong Company Structure

We can reliably assist you in navigating the process of registering a new company in Hong Kong, whether you are expanding from overseas or are a local resident. You have several structures to choose from, however, a private limited company is the most common form of business in Hong Kong. It provides a separate legal entity and limited shareholder’s liability to his subscribed capital. We can provide advice on a wide range of topics, including the optimal business structure, capital investment, options for full foreign ownership, shareholder requirements, and more.

Same day registration

We offer a fast and hassle-free Hong Kong company registration service, setting up your business faster than most service providers in the market.

Prepare Incorporation Documents

We prepare the necessary incorporation documents, including the Articles of Association, Form NNC1 (for company incorporation), and Form IRBR1 (for business registration). These documents must be submitted to the Hong Kong Companies Registry for registration.

Submit Documents to Hong Kong Companies Registry

We file the incorporation documents with the Companies Registry either online or by mail. Along with the incorporation documents, you will need to pay the requisite registration fees.

Apply for Business Registration Certificate

After company incorporation, we apply for a Business Registration Certificate (BRC) from the Inland Revenue Department (IRD). The Hong Kong BRC is required for conducting business in Hong Kong and must be renewed annually.

Comply with Ongoing Requirements
After company formation, we ensure compliance with ongoing requirements such as annual filing of financial statements, holding annual general meetings, maintaining statutory registers, and renewing business registration annually.

Before setting up a company in Hong Kong you need to:

Choose a company name

Select a unique company name that complies with Hong Kong's naming regulations. The name should not be identical to any existing company name in Hong Kong and should not contain sensitive or restricted words.

Appoint Directors and Shareholders

Decide on the directors and shareholders of the company. Hong Kong companies must have at least one director (who can be an individual or a corporation) and at least one shareholder. Directors and shareholders can be of any nationality and do not need to be residents of Hong Kong.

Choose your Registered Office Address

Select a registered office address for the company in Hong Kong. This address will be used for official correspondence and must be a physical address, not a P.O. Box.

Appoint a Company Secretary

Decide on a company secretary who must be a resident of Hong Kong or a registered office or a licensed trust or company service provider. The company secretary is responsible for ensuring compliance with statutory requirements.

Allocate your paid-up capital

Determine the initial capital shareholders will contribute. In Hong Kong, except for regulated industries, there’s no minimum requirement for share capital, allowing incorporation with just HK$1.

Choose a bank

Our recommendations for a DigiBank are: WorldFirst and AirWallex. If you wish to open with a traditional bank as well, our recommendations would be HSBC, DBS, CitiBank and HangSeng Bank. There are no legal restrictions preventing foreigners from opening an individual bank account in Hong Kong. However, banks will inquire about the purpose of the account and the reasons for needing one in Hong Kong. It is generally easier for a Hong Kong limited company, even if owned by a foreigner, to open a bank account in Hong Kong. Banks will request information about the business background of the owner, the planned activities of the limited company, and evidence of the owner's existing business operations (such as an overseas company).
