Before setting up a company in Hong Kong you need to:
Choose a company name
01
Select a unique company name that complies with Hong Kong's naming regulations. The name should not be identical to any existing company name in Hong Kong and should not contain sensitive or restricted words.
Appoint Directors and Shareholders
02
Decide on the directors and shareholders of the company. Hong Kong companies must have at least one director (who can be an individual or a corporation) and at least one shareholder. Directors and shareholders can be of any nationality and do not need to be residents of Hong Kong.
Choose your Registered Office Address
03
Select a registered office address for the company in Hong Kong. This address will be used for official correspondence and must be a physical address, not a P.O. Box.
Appoint a Company Secretary
04
Decide on a company secretary who must be a resident of Hong Kong or a registered office or a licensed trust or company service provider. The company secretary is responsible for ensuring compliance with statutory requirements.
Allocate your paid-up capital
05
Determine the initial capital shareholders will contribute. In Hong Kong, except for regulated industries, there’s no minimum requirement for share capital, allowing incorporation with just HK$1.
Choose a bank
06
Our recommendations for a DigiBank are: WorldFirst and AirWallex. If you wish to open with a traditional bank as well, our recommendations would be HSBC, DBS, CitiBank and HangSeng Bank. There are no legal restrictions preventing foreigners from opening an individual bank account in Hong Kong. However, banks will inquire about the purpose of the account and the reasons for needing one in Hong Kong. It is generally easier for a Hong Kong limited company, even if owned by a foreigner, to open a bank account in Hong Kong. Banks will request information about the business background of the owner, the planned activities of the limited company, and evidence of the owner's existing business operations (such as an overseas company).
