How Long Does WFOE Registration Take? A Week-by-Week Timeline
Quick answer: Registering a WFOE in China usually takes two to four months from the start of document preparation until the company can trade, invoice and pay staff. The business licence itself is often issued within a few weeks of filing. The longer steps are preparing authenticated documents abroad and opening the corporate bank account.
Founders often hear that "a WFOE can be registered in China in a week". That refers to one step, the business licence. A company that can actually receive capital, issue fapiao and run payroll needs several more steps, done in a set order.

Phase by phase
Planning: the step that saves the most time
The decisions made here drive everything that follows: the business scope (consulting, trading or manufacturing), the city and district, the amount of registered capital and who will be the legal representative, director and supervisor. Documents abroad: usually the first bottleneck
Parent-company documents and passport copies need to be notarised and then apostilled (or legalised, if your country is not part of the Apostille Convention). Waiting times at notaries and authorities in your home country are outside anyone's control in China, so start this as early as possible. Name check, filing and business licence
Filing is done online with the local market regulator (SAMR). Once the documents are complete and consistent, many cities issue the business licence quickly. Most delays at this stage come from inconsistencies, for example a name spelled differently across documents or a business scope that does not match approved wording.
Bank accounts: the longest step after the licence
Banks run their own due diligence on the shareholders, ultimate beneficial owners and the legal representative. Expect questions about the business plan, sources of funds and the people involved. Tax, fapiao and payroll set-up
The company registers with the tax bureau, confirms its tax types and VAT status, and receives the right to issue e-fapiao. Social insurance and housing fund accounts must be open before the first payroll.

• Start home-country document preparation on day one, in parallel with planning.
• Keep names, addresses and spellings identical across every document.
• Have the legal representative available for bank identity verification.
• Secure a compliant registered address before filing.
• If you need staff before the WFOE is ready, hire through an Employer of Record in the meantime.

Legally the company exists, but in practice you need a bank account, tax registration and fapiao rights before you can invoice customers and get paid.
Is Shanghai faster than other cities?
Shanghai's registration process is largely digital and efficient. Bank and tax steps depend more on how complete your documents are than on the city.
