Form ND2A: How to Report a Change of Director or Company Secretary in Hong Kong

Every Hong Kong company has to tell the Companies Registry when its directors or its company secretary change. The form that does this is Form ND2A, and the deadline is short: 15 days from the date of the change. Miss it and the filing is still accepted, but the company and its officers are exposed to a fine, and the public register no longer matches reality, which is the sort of discrepancy that tends to surface during bank due diligence rather than at a convenient moment.
What Form ND2A Actually Covers
Form ND2A is the notification of a change of company secretary or director, covering both appointments and cessations. It is the form you file when a director resigns or is removed, when a new director joins the board, when the company secretary is replaced, and when a corporate secretary takes over from an individual or the other way round. A single form can report more than one change if the changes are being notified together.
Two related forms are easy to confuse. Form ND2B reports a change in the particulars of a director or secretary who stays in post, such as a new residential address, a new identity document number or a change of name. Form NAR1 is the annual return, which confirms the position as at the return date. Filing the annual return with updated details does not discharge the obligation to file ND2A when the change happens, so treat them as separate duties.
The 15-Day Deadline
Notice has to reach the Companies Registry within 15 days after the date of the change. The clock runs from the effective date of the appointment or cessation, not from the date the board minutes are signed and not from the date someone remembers to prepare the form. For a resignation, that means the date stated in the resignation letter.
What You Need Before You File
For an appointment, you need the person's full name in English and, where applicable, Chinese, their identity document details, their usual residential address, a correspondence address if one is being used, and their written consent to act. For a corporate company secretary, you need the company name, registration number and registered office address. For a cessation, you need the officer's name and the effective date. The form is signed by a director, the company secretary or another authorised person.
How to File
Filing is done electronically through the Companies e-Registry, which is the faster route and produces an immediate acknowledgement, or in hard copy at the Companies Registry in Admiralty. There is no filing fee for Form ND2A. Once the notice is registered, the change appears on the public register, where anyone running a company search can see it, banks included.
Update the Statutory Registers Too
Filing the form is only half the job. The company's own register of directors and register of company secretaries, kept at the registered office or another notified place, has to be updated as well, and so do bank mandates and authorised signatory lists naming the outgoing officer. Check separately whether the departing person was also a significant controller, because that register carries its own requirements.
What Happens If You File Late
Failing to give notice in time is an offence under the Companies Ordinance, and the company along with every responsible person can be fined, with a daily default fine while the failure continues. The practical cost usually arrives before any penalty does: an out-of-date register slows bank account reviews and KYC refreshes, and a company left with no validly appointed secretary, or with a sole director who has resigned without a replacement, has a governance problem rather than a paperwork one.
