Choose a Business Structure

Determine the most suitable business structure for your company in China. Options include Wholly Foreign-Owned Enterprise (WFOE), Joint Venture (JV), Representative Office (RO), and Foreign Invested Partnership Enterprise (FIPE).

Reserve a Company Name

Verify the availability of your desired Chinese company name and reserve it with the local Administration of Industry and Commerce (AIC). The name should comply with China's naming regulations and be unique.

Capital Contribution

Determine the registered capital required for your chosen business structure and contribute the funds to a Chinese bank account. Note that China has relaxed its requirements for registered capital in recent years, but certain industries may still have minimum capital requirements.

Obtain Approval & Business License

Prepare the necessary documents, including but not limited to the Articles of Association and lease agreement for office space. Submit these documents to the AIC for approval and obtain the Business License upon approval.

Apply for Registration and Taxation

Register your company with the local tax bureau to obtain a Tax Registration Certificate. Additionally, register for social insurance and housing fund contributions for your employees with the local authorities.

Open a Bank Account

Once you have obtained the Business License and Tax Registration Certificate, open a corporate bank account with a traditional bank; whether foreign or local. This account will be used for business transactions and capital management.

Seal Carving & Chops

Create company seals (commonly known as chops) for official use. These seals are used for signing contracts, agreements, and other legal documents in China.

Register with other Authorities (if applicable)

Depending on your industry and business activities, you may need to register with additional authorities such as customs, industry-specific regulators, or the foreign exchange bureau.
